Filip & Company law firm assisted Gedeon Richter, an innovation-driven specialty pharmaceutical company, in relation to the sale of its pharmaceutical retail and wholesale operations in Romania to Dr. Max Group, a pharmacy chain owned by Penta Investments.

The transaction has been executed on 20 October 2022 and remains subject to the approval of the Romanian Competition Council.

Filip & Company provided legal assistance in relation to all the stages of the transaction: conducting the vendor due diligence, assistance with the set-up of the data room and the drafting and negotiation of the contractual documentation.

“This fall remains effervescent in terms of the M&A market and we are happy to continue being heavily involved in the landmark transactions taking place this season. Long-term thinking and continuous development are stable building blocks of Gedeon Richter’s history. Every element of Richter’s long-standing business is permeated by this philosophy, and we are both delighted and honoured that they have entrusted us with a project that is both complex and strategic to their business, said Monica Stătescu, partner at Filip & Company.

The Filip & Company team was coordinated by Monica Stătescu (partner) and included Andreea Bănică (senior associate, Corporate and M&A) and Andrei Anghel (associate, Corporate and M&A), while Smaranda Văcaru (senior associate) provided legal assistance on financial law matters.

The lawyers at Filip & Company have had important roles in many of the key M&A transactions in Romania. Whether they were privatizations, private equity, venture capital or growth capital transactions or other complex M&A, in most of the cases, at least one of the parties was legally assisted by Filip & Company. Furthermore, the lawyers at Filip & Company are ranked first in the most prestigious international legal directories – Chambers and Partners and Legal 500 – with their M&A practice, both as a team as well as individually.
