UniCredit Tiriac Bank will take over the local leasing firms under the same brand by acquiring 99.9 percent of Unicredit Leasing Romania for RON 66.87 million (EUR 15 million) and finalizing the deal for 79.9 percent of Unicredit Leasing Corporation.
The acquisition will be submitted for shareholder approval in a general meeting on April 11. The deal is set to go down on the condition of finalizing the transaction for the majority shareholder package of 79.9 percent of Unicredit Leasing Corporation capital.
For Unicredit Leasing Romania’s titles the acquisition price will be RON 759.91 per share so the bank will pay in total RON 66.87 million.
The company has a social capital of RON 880,000 from 88.000 shares with a nominal value of 10 RON. Unicredit Leasing SPA Italy control 99.9988 percent of the shares and Unicredit Tiriac Bank owns one share with a quota of 0.0011 percent. At the beginning of january 2013 the bank acquired the majority package for Unicredit Consumer Financing, retaining control over 20 percent of Unicredit Leasing Corporation. The rest of the shares are owned by Unicredit Leasing Italy.
The project of transferring control for most leasing entities from Holding to Unicredit Tiriac Bank SA was approved at the start of 2014.
