LIFE IS HARD successfully completes the share capital increase and the latest bond issue

LIFE IS HARD S.A. (LIH), a technology company listed on the Bucharest Stock Exchange (BVB), AeRo market, announces the completion of the share capital increase and the raising of investments through the latest bond issue. Additionally, the next steps in the company’s development will be guided by a new Board of Directors, elected at the General Meeting of Shareholders on April 29, 2024.

 

LIFE IS HARD mentions that the share capital increase operation was successfully completed, carried out in accordance with the EU Growth Prospectus related to the share capital increase, approved by the Financial Supervisory Authority (ASF) through Decision no. 299/21.03.2024. In this process, 740,000 ordinary, registered, dematerialized shares were subscribed, with a nominal value of 0.5 lei each, amounting to a total of 1,480,518 lei, bringing the company’s share capital to a current value of 15,124,603 lei. The company is currently in the process of registering the new capital with the capital market institutions.

Additionally, LIFE IS HARD informs stakeholders about the approval of listing the bonds issued by LIFE IS HARD on the multilateral trading system (MTS) of the Bucharest Stock Exchange, Credit Securities Sector. The 100,000 bonds valued at 10,000,000 lei began trading on May 16, 2024. The nominal value of the bonds is 100 lei per bond, with a maturity in 2028. The nominal interest rate is 10% per year, payable quarterly.

The corporate bond issue is a step in LIH’s strategic development efforts, and it also indicates that we are in the midst of an accelerated growth process,” states Cătălin Chiș, CEO, LIFE IS HARD SA.

Recently LIFE IS HARD decided to change the composition of the Board of Directors. The new members, who will have a mandate of up to 2 years each, are: Ghiman Ovidiu–Marius, President of the Board of Directors; Vilceanu Ovidiu, Member of the Board of Directors and Maioreanu Oana-Sînziana, Member of the Board of Directors.

Ghiman Ovidiu–Marius, President of the Board of Directors

Ovidiu Ghiman currently holds the positions of President of the Supervisory Board at Metaminds SA and President of the Board of Directors and CEO of European Digital Exchange SA (EDEX), a company he founded. At Metaminds SA, business leader in systems integration for the public sector in Romania, he holds a non-operational role, overseeing the activities of the Board of Directors and ensuring compliance with corporate governance norms. And at EDEX, he coordinates the crowdfunding platform www.weronin.com, one of the main platforms of this type in Romania, facilitating financing for startups and ensuring compliance with national legislation. Previously, he was Commercial Director B2B Segment at Telekom Romania Group of Companies (former Romtelecom & Cosmote) where he coordinated commercial activities for the B2B segment, having full responsibility for P&L and managing sales, marketing and customer services. He also held management and coordination positions in Romtelecom, RCS&RDS SA and Romania Data Systems SA. He has skills in strategic leadership, policy development and operational coordination, as well as communication.

Vilceanu Ovidiu, Member of the Board of Directors

With over 20 years of professional experience within Know! & Sales Consulting, a leading group of companies in the field of recruitment and training from Transylvania, Ovidiu Vilceanu held the position of Executive Director of the company since April 2001. In this role, he was responsible for establishing and implementing the company’s development strategy, coordinating managers of departments (recruitment, financial, business development, training), promoting the company and maintaining relations with corporate clients. He also managed internal HR activities including hiring, training and periodic reviews and maintained local media relations. Previously, he was an Economic Consultant and Project Coordinator within Sales Consulting (between 1999 and 2001). His skills include leadership and strategic management, market analysis, effective communication and human resource management.

Maioreanu Oana–Sînziana, Member of the Board of Directors

Sînziana Maioreanu is an experienced top executive and strong leader with demonstrated performance history in services industry- banking, insurance, private pensions, with relevant track record for Restructuring and Development, Green Field, M&A, Strategic Development, Change Management and a passion for People Engagement and Empowerment, Corporate Culture and Customer Experience.

She is currently a Leadership Lecturer at Transylvania Executive Education, where she shares her expertise with future leaders.

In the insurance sector, she holds top management positions at AEGON Romania, Aegon Life Insurance – Poland Branch and is Chairman of the Board of Directors of Aegon Pensions. She also held the position of Chief Sales Officer at AEGON Asigurări de Viață România S.A. and was CEO and Chairman of the Management Board at Signal Iduna Life Insurance Romania. In the field of private pensions, she worked as Commercial Director and Deputy General Director at Eureko (formerly Interamerican) Pensions Company and was also National Commercial Director and member of the executive team at Eureko Romania Insurance Company. Her career in the banking sector began at ING Bank Romania where she held positions in IT as well as Senior Relationship Manager or Executive Director of the distribution channel for employee benefits and group insurance. Between 1991 and 1995, she worked at the State Office for Inventions and Trademarks (OSIM) as an Engineer and State Examiner. This diverse experience underlines her skills in leadership, change management, strategic development and employee engagement, being a versatile and effective professional in many areas of activity.
