Erste Group completed the second tranche of agreement with SIF Transilvania, wherby a total of over 4 million Erste Group shares were issued today, increasing the total number of Erste Group shares to 386,741,696.
As part of the second tranche 2011 of the overall transaction, SIF Transilvania tendered a total of
515,104,687 BCR shares. A total of 4,025,566 new Erste Group shares were issued for these shares.1 Erste Group share was issued for 127.9583 BCR shares.
SIF Transilvania acquired under the transaction a stake in Erste Group of about 1 percent by exchanging its 4.7 percent stake in BCR for Erste Group shares. SIF Transilvania received a total of 4,025,566 Erste Group shares for 515,104,687 BCR shares.
SIF Transilvania can dispose of up to 25 percent of its Erste Group shares immediately after the acquisition. After 6, 12 and 18 months it can sell an additional 25 percent each of its Erste Group shares.
New Erste Group shares have been registered in the companies register at the Vienna Commercial Court, two days ago. Trading in the new shares will start today in Vienna,
Prague and Bucharest. The new shares have dividend rights for the financial year 2011.
In addition, in the first week of December Erste Group has acquired an approximately 2 percent stake in BCR from the SIFs for a cash payment of RON 193.7 million – from SIF Muntenia a 0.7 percent stake in BCR, and from SIF Moldova a 1.2 percent stake in BCR.
As a result of this transaction, Erste Group increased its stake in BCR to 82 percent.
