ENERGY

Allianz Capital Partners buys E.ON Distributie Romania

Value of transaction: EUR 270 million (according to media sources)

Legal team buyer: RTPR Allen & Overy; KPMG and Goldman Sachs (buyer’s financial representatives)

Legal team seller: Botezatu & Asociatii

Description: Allianz Capital Partners acquired 30 percent of E.ON Distributie Romania, the largest electricity and gas distribution network operator in northern Romania. This is the largest transaction in Romania in the energy sector in recent years.

 

Repower AG sells Repower Romania

Legal team seller: NNDKP; (KPMG, seller’s financial representative)

Description: Repower AG sold Repower Romania, the local subsidiary engaged in electricity supplying, to MET Group, a Switzerland-based holding company with an interest in regional electricity distributors. Through the transaction, MET aimed to consolidate its position on the Romanian market and increase its market share to 5 percent.

 

Andelta transfers Romanian firm to third party

Description: Andelta, a leading Central European energy group, carried out a crossborder restructuring of its operations, which included the transfer of the Romanian business to a third party buyer.

 

OIL & GAS

KazMunay Gas sells 51 percent of KMGI to CEFC

Legal team seller: Freshfields (international counsel), NNDKP with Tuca Zbarcea & Asociatii (for Romanian matters)

Description: In October 2016, KazMunay Gas sold a 51 percent stake in KazMunayGas International N.V. (KMGI) to CEFC (China Energy Company Limited). Dentons acted as legal counsel to Fortune Global 500 company CEFC China Energy Company (CEFC) in its acquisition of a majority stake in KMG International (KMGI). The strategic partnership will deliver benefits for KMG, CEFC and KMG International and will establish the necessary framework for future joint projects and contribute to the economic and social growth of the areas where those projects are implemented, including Romania.

 

Kraftanlagen Munchen buys IPIP and Petroconsult

Description: Kraftanlagen bought the Design Institute for Petroleum Installations and Petroconsult, in a bid to expand its service offering as a general contractor for the chemical and petrochemical industry, as well as to reinforce its market position in engineering. The buyer is part of Swiss Alpiq Kraftanlagen Gruppe.

 

Petrofac sells Romanian business to Expert Petroleum

Description: Petrofac Ltd., an international provider of facilities solutions to the oil & gas production and processing industry, sold its Romanian business to Expert Petroleum. Petrofac’s exit from the 15-year production enhancement contract for nine mature oilfields was concluded with OMV Petrom, the Austrian oil and gas group.

 

Mazarine Energy buys 19 onshore fields from OMV Petrom

Description: Hague-based Mazarine Energy, a private oil and gas exploration and production company, will take over 19 onshore oil fields and three workover rigs, alongside 200 employees in Romania from Austrian oil major OMV Petrom. The 19 fields are part of a bigger package that has been up for sale since 2014 as part of a portfolio optimization effort. The financing of the acquisition will come from the USD 500 million equity line that Carlyle International Energy Partners provided to Mazarine Energy in 2016.

 

Synergy Energy Holdings buys CDI Oilfield Services
